1. APPOINTMENT

The Company hereby appoints the Dealer as an Authorized Non-Exclusive / Exclusive (check one) dealer of COBI products within the following territory:

The Dealer accepts such appointment and agrees to actively promote, sell, and distribute COBI products in accordance with this Agreement.

2. PRODUCTS COVERED

This Agreement covers the following COBI products, including future variants:

  • Crown BioGrow™
  • Crown MycoBoost™
  • Crown VitaSoil™
  • Crown EcoZyme™
  • Crown BioKelp™

The Company reserves the right to add, modify, or discontinue products with notice.

3. PRICING & PAYMENT TERMS

3.1 Dealer shall purchase products at the authorized dealer price list issued by COBI.

3.2 Suggested Retail Price (SRP) shall be strictly followed. Price undercutting is prohibited.

3.3 Payment terms (check one):

3.4 Prices may be revised with 30 days written notice.

4. DEALER OBLIGATIONS

The Dealer agrees to:

a. Promote COBI products ethically and truthfully
b. Maintain proper storage to preserve product quality
c. Use official COBI branding, labels, and materials only
d. Employ trained staff or attend COBI product orientation
e. Submit basic sales reports when requested
f. Comply with all applicable laws and regulations

5. COMPANY OBLIGATIONS

The Company agrees to:

a. Supply quality-assured products
b. Provide product training and technical materials
c. Support demo farms, extension activities, and promotions (subject to availability)
d. Honor dealer margins and price protection policies
e. Provide marketing support where feasible

6. TERRITORY & EXCLUSIVITY (IF APPLICABLE)

6.1 If exclusivity is granted, it shall apply only within the agreed territory.

6.2 Exclusivity is subject to minimum performance requirements, including:

  • Minimum quarterly purchase volume
  • Active market development
  • Compliance with pricing and brand rules

Failure to meet performance targets may result in loss of exclusivity.

7. MARKETING & BRAND USE

7.1 All trademarks, logos, and product names remain the property of COBI.

7.2 Dealer shall not:

  • Alter labels or formulations
  • Repack products without written authorization
  • Make unapproved claims or guarantees

8. WARRANTIES & LIABILITY

8.1 COBI warrants that products meet internal quality standards.

8.2 COBI shall not be liable for:

  • Improper use or application
  • Storage mishandling
  • Claims made beyond official product documentation

8.3 Dealer agrees to indemnify COBI against claims arising from dealer negligence or misrepresentation.

9. CONFIDENTIALITY

Dealer shall keep confidential all:

  • Pricing structures
  • Dealer margins
  • Formulations (to the extent disclosed)
  • Business strategies

This obligation survives termination of this Agreement.

10. TERM & TERMINATION

10.1 This Agreement shall be valid for one (1) year, renewable annually.

10.2 Either party may terminate with 30 days written notice.

10.3 Immediate termination may occur if the Dealer:

  • Undercuts prices
  • Engages in unethical practices
  • Misuses the COBI brand
  • Violates laws or regulations

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

12. ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.

Any amendments must be in writing and signed by both parties.
